Company Registration in Malaysia

Nominee director
All companies must have at least two directors who are primary residents within Malaysia or whose only place of residence is Malaysia. Detailed information about Malaysian companies, including shareholders and directors' names, registration date, share capital, and registered address, can be publicly viewed through the Companies Commission of Malaysia (SSM).
Apply for a business license
This includes a business premises license, employment agency license, wholesale and retail trade (WRT) license, publishing license, and printing license. The application requirements for business premises and signboard licenses may vary depending on the local authorities. Before starting operations, all private employment agencies must obtain an employment agency license issued by the Ministry of Human Resources in Malaysia. The wholesale and retail trade (WRT) license is only applicable to foreign companies (with more than 50% foreign ownership).
Open a company bank account

Company registration service notes
Foreign personnel permits or employment paid-up capital requirements
Different permits or employment applications have varying paid-up capital requirements.
Large items/packages must be approved
Any large items/packages (especially those over 3 kilograms) that need to be delivered to the office must first obtain approval. Daily handling and storage fees will be charged.
The Companies Act 2016 (CA 2016) adopts the memorandum and articles of association
- Most directors sign the board resolutions (as required by the Companies Act 2016, all directors must sign)
- Use a company seal (useful when clients purchase assets)
Please note that some banks may require the company secretary to confirm whether the company has a seal. In Malaysia, as different banks have different requirements, please directly confirm the conditions for opening a bank account with your preferred bank
Company registration certificate
Your company registration package includes a company registration certificate. (This certificate will be issued by the Companies Commission of Malaysia (SSM) after the company application is completed and the fees are paid.)
Initial paid-up capital
Our fee package does not include your company’s initial paid-up capital. Please note that the initial paid-up capital will be considered as a cash advance from the shareholders to the company. The company can decide how to account for this in its financial records.
