A company secretary is neither part of the “management” nor a member of the board of directors.
In Malaysia, all companies registered and incorporated in Malaysia must have at least one company secretary. The company secretary must be a resident of Malaysia and a member of a prescribed professional body or hold a license issued by the Companies Commission of Malaysia (SSM).

The following individuals can serve as company secretaries: - Chartered accountants (must be registered with the Malaysian Institute of Accountants (MIA)) - Chartered secretaries (must be registered with the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA)) - Licensed secretaries (must be licensed by the Companies Commission of Malaysia (SSM)) - Lawyers (must be registered with the Malaysian Bar or relevant association)
Exclude company registration services
If a company intends to dissolve, the best method is to close the company. There are two ways to end a private limited company (Sdn Bhd):
1. Apply to the Companies Commission of Malaysia (SSM) for the removal of the company's registration name
2. Voluntary liquidation of the private limited company
Removing the company registration is the cheapest way to close a private limited company (Sdn Bhd). By doing this, you will not have to pay annual secretary fees, audit fees, and tax service fees.
If you want to dissolve the company, you must apply to the Companies Commission of Malaysia (SSM). Directors are eligible to apply to the court to reinstate the company (name) within 15 years after its removal from registration.
